Areas of Practice
Mr. Kohn specializes in business and
real estate matters. His real estate
work covers all asset types, including
multi-family, retail, office and
hospitality properties. In addition Mr.
Kohn counsels clients on a variety of
corporate and litigation matters,
including regulatory matters, resolution
of commercial disputes, mergers and
acquisitions, corporate restructurings,
commercial contracts, debt and equity
financings, technology transfers,
business formations and NASD/FINRA and
SEC matters. His securities law work
includes preparation of public filings
(10-K, 10-Q and 8-K filings),
registration statements (S-1) and
private placement offerings.

Activities
Mr. Kohn was admitted to the California
State Bar in 1997. He is a member of the
Los Angeles County Bar Association.
He is also a licensed California real
estate broker.
Prior Experience
Mr. Kohn began work as an attorney with
Manatt, Phelps and Phillips, LLP.
Immediately prior to joining the firm he
worked as in-house counsel for Palmer
Real Estate Group/Palmer Hospitality
Group LLC where he focused on real
estate acquisition and development
projects. His experience also includes
work for Direct Capital Securities,
Inc., a broker-dealer, where he was
involved in real estate, energy and
emerging growth transactions. Mr. Kohn
also worked for the Federal Deposit
Insurance Corporation (FDIC) where he
focused on regulatory oversight of large
and middle market financial
institutions.
Other Activities
Mr. Kohn has lectured at the University
of Southern California (USC) Law School
as well as at numerous conferences and
seminars. Mr. Kohn is an active member
of the Wharton Southern California
Alumni as well as the Wharton Southern
California Alumni Real Estate Group.
